ROK Acquires UK IPTV Company

ROK has acquired 100% of the issued and to be issued share capital of Jalipo Ltd for total consideration of 600,000 ordinary shares.

Jalipo is a UK Registered IPTV company which offers live streaming of TV content over the internet. Jalipo is the first online marketplace for TV and video, allowing content owners to use the internet to offer their channels, video-on-demand and live events direct to viewers around the world.

NXP to Acquire Conexant’s Set-Top Box Operations

NXP Semiconductors will acquire the Broadband Media Processing business of Conexant System. With this transaction, NXP’s existing set-top box and digital TV operations will be combined with Conexant’s BMP business. The combined operations will create a top three player in digital video systems with the scale to establish a strong leadership position. The deal represents NXP’s fourth acquisition since independence and is the first for its Home Business Unit.

Conexant’s BMP business, which provides industry-leading solutions for satellite, cable and IPTV applications, accounted for US $205 million in revenue in 2007. Under the terms of the deal, NXP will pay Conexant US $110 million in cash up front, and additional consideration of up to US $35 million based on achievement of certain revenue milestones over the period from closing through 2009.

ROO to Acquire Kamera

roo_logo.gifROO has entered into a Content Distribution Agreement with Kamera Content AB, providing for a collateralized and callable advance payment by ROO of US $300,000. The CDA provides ROO with an exclusive time period during which to fully negotiate the acquisition of Kamera. The binding CDA was signed between the companies on March 12, 2008, at the same time as the execution of a non-binding Letter of Intent for the purchase of 100% of the capital stock of Kamera by ROO.

Orca Interactive Acquired by Viaccess

orca_interactive_logo.jpgOrca has signed an agreement with Viaccess, a France Telecom subsidiary. Under the agreement, Viaccess will acquire a 100-percent stake in Orca for an estimated price of 21.4 million US dollars.

The completion of the transaction is subject to conditions precedent and notably to the approval of the transaction by the extraordinary general meeting of Orca Interactive.

Viaccess is a leader in the field of content protection, with conditional access and DRM solutions delivered in over 30 countries. Viaccess is a European leader in IPTV with over 1.2 million active subscribers worldwide.

Yahoo! Snaps Up Maven Networks for $160 Million

Under the terms of the agreement, Yahoo! acquired Maven Networks for approximately $160 million.

Yahoo! and Maven will be able to offer publishers a full portfolio of technology and media solutions. Yahoo! already has the largest library of professionally produced legally licensed video content and has video advertising relationships with over 75% of the top TV advertisers. Additionally, Yahoo! has advertising relationships with a growing number of premium publishers including eBay, Comcast, Newspaper Consortium, Forbes.com and others. Maven’s platform is currently used to manage, distribute and monetize premium online video content for over 30 major media companies, including Fox News, Sony BMG, CBS Sports, Hearst, Gannett, Scripps Networks, and the Financial Times as well as hundreds of their affiliates. Together they represent one of the most robust video platforms in the industry.

Nighthawk Systems announces that it has purchased the IPTV set-top box business assets of Eagle Broadband.
